ACRC Files Form-D and Withdraws Form 1-A

American Condor Resources Corporation (“ACRC” or the “Company”) announced the filing of Form D promulgated by Rule 506(c) of Regulation D of the Securities Act of 1933 (the “Act”) with the S.E.C., subsequent to updated capital formation decisions agreed by its management in light of the pandemic, overall global economic impacts, and the future direction of the Company.


Christopher Werner, American Condor Resources CEO, stated: “The ongoing impacts of COVID-19, especially the recent impacts in North and South America, have forced us to re-assess our target mining projects through concessions we are familiar with and that require no exploration and to also consider business combinations or strategic alliances as a means to take ACRC forward in the most optimal way possible. In that regard, we have withdrawn our Form 1-A and filed Form D to accommodate a larger “accredited investor” raise or business combination and have several projects where we have advanced discussions that should be announced publicly in the coming weeks. It’s a new era for the world with the pandemic, the economic crisis and uncertainty it brings to the global markets. We have compassion for those who have suffered during this unprecedented period and we have a responsibility to our stakeholders to perform in this uncertain and difficult time. In that regard, we have two things in our favor. (i) First, gold appears to be performing well and should continue the upward trend well into the future as many international governments print money to provide economic stimulus; and (ii) Second, our target market, both the late-stage exploration operators ready to commence production, and early stage production operators, need financing more than ever and our financing model will perform well in these sectors possibly producing greater returns than originally projected.”
